Terms of Use

Last Updated: 26 August 2026

1. Acceptance of Terms

These Terms of Use ("Terms") apply to https://dcn.cryptio.co/ and the associated discovery network, together with any related applications, dashboards, or services (collectively, the "Platform"), made available by Cryptio Inc. ("Cryptio," "we," "us," or "our"). By accessing or using the Platform, creating an account, or clicking "Sign up" or otherwise indicating acceptance, you ("you" or "User") acknowledge that you have read, understood, and agree to be bound by these Terms, together with any policies incorporated by reference, including our Privacy Policy and Risk Disclosure Statement. If you do not agree, you may not access or use the Platform.

We reserve the right, at our discretion, to change, modify, add, or remove portions of these Terms at any time. We suggest reviewing these Terms periodically for changes; continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. If you are accessing the Platform on behalf of an entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.

2. Jurisdictional Issues

Users of the Platform are responsible for observing all applicable laws and regulations in their relevant jurisdiction before accessing the Platform. Information provided on or through the Platform is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject Cryptio to any registration or other requirement in that jurisdiction. Cryptio reserves the right to limit access to the Platform to any person, geographic region, or jurisdiction at its sole discretion. By accessing the Platform, you represent and warrant that the applicable laws of your jurisdiction permit you to do so, and that you are not a Restricted Person (as defined in Section 5).

3. Description of the Platform

Cryptio operates a discovery network that allows eligible institutional participants to discover, compare, and connect with counterparties for digital asset-backed credit structures, including lending and borrowing arrangements referencing decentralized finance ("DeFi") protocols and regulated centralized finance ("CeFi") counterparties. The Platform may display indicative rates, collateral terms, and structure information sourced from DeFi protocols and third-party counterparties.

Cryptio is a technology and information platform. Except where expressly stated in a separate agreement, Cryptio:

  • is not a lender, borrower, broker-dealer, investment adviser, bank, money transmitter, or custodian;
  • does not hold, custody, or control User funds or digital assets exchanged in connection with any transaction facilitated through the Platform;
  • does not guarantee the performance, solvency, or conduct of any counterparty, protocol, or custodian; and
  • is not a party to, and assumes no liability arising from, any lending, borrowing, or credit arrangement entered into between Users or between a User and a third-party counterparty or protocol.

Any credit arrangement, loan, or transaction that results from use of the Platform is entered into solely between the relevant counterparties pursuant to separate documentation, and is subject to the terms of that documentation and not these Terms. Cryptio does not treat Users of the Platform as its clients solely by virtue of their accessing the Platform.

4. No Offer, Recommendation, or Solicitation

None of the information made available on the Platform constitutes a recommendation, solicitation, or offer by Cryptio to buy or sell any security, digital asset, future, option, or other financial instrument, or to provide investment advice or services. Nothing on the Platform constitutes, or should be construed as, an offer to sell, or a solicitation of an offer to buy or subscribe for, any securities or other financial instruments in the United States or any other jurisdiction, nor shall it, or the fact of its distribution, form the basis of, or be relied upon in connection with, any contract or commitment. Cryptio is not acting as your fiduciary, adviser, agent, or broker, and no advisory relationship is created by your use of the Platform.

5. Eligibility

The Platform is intended solely for use by institutional and professional participants. By accessing the Platform, you represent and warrant that you:

  • are at least 18 years old and have full legal capacity to enter into these Terms;
  • if an entity, are duly organized, validly existing, and in good standing under the laws of your jurisdiction of formation;
  • qualify as a "qualified purchaser," "qualified institutional buyer," or equivalent institutional or professional counterparty classification under applicable law, to the extent required for the products or structures you access;
  • are not a resident of, or organized in, any jurisdiction where use of the Platform would violate applicable law, and are not a Restricted Person; and
  • will comply with all applicable laws, including securities, commodities, banking, anti-money laundering, sanctions, and tax laws, in connection with your use of the Platform.

"Restricted Person" means any person or entity that is: (a) named on any sanctions list maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the United Nations, the European Union, or the United Kingdom; (b) organized, located, or resident in a country or territory subject to comprehensive sanctions; or (c) otherwise prohibited from using the Platform under applicable law.

6. Account Registration; KYC/AML

To access certain features, you must register for an account and complete Cryptio's identity verification and know-your-customer ("KYC") process, which may be conducted directly by Cryptio or through third-party providers and participating custodians. We may ask for identifying information, corporate documents, or other records to verify your identity, and may use third-party sources to confirm the information you provide. You agree to provide accurate, current, and complete information and to promptly update it as it changes. Cryptio may suspend, restrict, or terminate access pending verification, or if it reasonably believes information provided is false, misleading, or incomplete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account, and must notify us immediately of any unauthorized access or use.

7. Use of the Platform

Use of the Platform, and any transaction referencing digital assets or DeFi protocols, involves additional risks, including without limitation:

  • Volatility and market risk: digital asset prices are highly volatile and collateral values may decline rapidly, resulting in liquidation or loss.
  • Smart contract and protocol risk: DeFi protocols referenced on the Platform may contain bugs, exploits, or design flaws, and may be subject to governance changes, forks, or discontinuation outside Cryptio's control.
  • Counterparty and credit risk: Cryptio does not guarantee that any counterparty will perform its obligations under a credit arrangement.
  • Custody risk: assets held by third-party custodians (including tri-party custodial arrangements) are subject to the custodian's own terms, controls, and solvency, and are not insured or guaranteed by Cryptio.
  • Regulatory risk: the legal and regulatory treatment of digital assets, DeFi, and related credit structures is evolving and may adversely affect the Platform, protocols, or your transactions.
  • Technology risk: blockchain networks may experience outages, forks, congestion, or irreversible errors, and transactions may be irreversible once confirmed.

Cryptio is not responsible for losses arising from any of the foregoing risks.

8. Views and Forward-Looking Statements

Certain statements, rates, and analytics on the Platform reflect Cryptio's views, estimates, opinions, or predictions — including as to current or future market conditions for digital assets — which may be based on proprietary models and assumptions. There is no guarantee that these views, estimates, opinions, or predictions are currently accurate or will be realized, and actual outcomes may differ materially from, and be less favorable than, any estimate or prediction. Cryptio undertakes no obligation to update or review any such statement, whether as a result of new information, future developments, or otherwise, except as required by applicable law.

9. Third-Party Custodians, Protocols, and Linked Sites

The Platform may reference or integrate with third-party custodians, DeFi protocols, data providers, and other third-party services (collectively, "Third-Party Services"), and may link to other websites we think might be of interest to Users. Cryptio does not control, and is not responsible for, the availability, accuracy, security, content, or performance of any Third-Party Service or linked site, and the inclusion of any link or reference does not imply our endorsement or adoption of the statements made there. Your use of any Third-Party Service is subject to that provider's own terms and policies, and any custody or safekeeping arrangement is governed solely by your separate agreement with the applicable custodian. We encourage you to review the terms and privacy policies of any linked or referenced third party, as they may differ from ours.

10. Prohibited Conduct

You agree not to:

  • use the Platform in violation of any applicable law, including securities, commodities, banking, sanctions, or AML/CFT laws;
  • provide false, misleading, or fraudulent information, including in connection with KYC/AML verification;
  • engage in market manipulation, or other abusive or manipulative practices;
  • use the Platform to facilitate money laundering, terrorist financing, or other illicit activity;
  • interfere with, disrupt, or attempt to gain unauthorized access to the Platform or its underlying systems;
  • reverse engineer, decompile, or scrape the Platform, or use automated means to access it without Cryptio's prior written consent;
  • misrepresent your identity, affiliation, or eligibility status; or
  • use the Platform if you are a Restricted Person.

Cryptio may investigate suspected violations and cooperate with law enforcement and regulators as required by law.

11. No Reliance

Although Cryptio takes reasonable care to ensure that information on the Platform is accurate, no representation or warranty (including as to liability toward third parties), express or implied, is made as to its accuracy, reliability, or completeness. Rates and other content on the Platform are provided for informational purposes only and are subject to change without notice. Nothing on the Platform constitutes investment, legal, tax, or other advice and should not be relied on in making an investment or other decision. You should obtain relevant, specific professional advice before making any decision based on Platform content.

12. Intellectual Property; Third-Party Trademarks

Unless otherwise expressly noted, all information and materials on the Platform — including images, illustrations, designs, icons, software, text, and other content — are copyrights, trademarks, service marks, trade names, trade dress, and/or other intellectual property owned, controlled, or licensed by Cryptio. Subject to your compliance with these Terms, Cryptio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. No other rights are granted. You may not copy, reproduce, republish, distribute, modify, or create derivative works from any Platform content without Cryptio's prior written consent, except that you may download, where specifically permitted, a single copy for personal, non-commercial use, provided you retain all copyright and proprietary notices.

All third-party company, product, and service names referenced on the Platform — including, but not limited to, the names of custodians, protocols, and other counterparties — are used for identification purposes only. Those names, logos, and brands are the property of their respective owners, and their use does not imply any endorsement of, or affiliation with, Cryptio.

13. Confidentiality

Any non-public information disclosed to you through the Platform regarding rates, structures, counterparties, or Cryptio's business ("Confidential Information") must be kept confidential and used solely to evaluate potential transactions. This obligation does not apply to information that is or becomes publicly available through no fault of yours, or that you are required to disclose by law or regulatory request (provided you give Cryptio prompt notice where legally permitted).

14. No Warranty

THE PLATFORM AND ALL CONTENT, DATA, AND INFORMATION MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CRYPTIO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. CRYPTIO DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR CURRENCY OF ANY RATE, ANALYTIC, OR INFORMATION DISPLAYED, OR THE PERFORMANCE OF ANY COUNTERPARTY, PROTOCOL, OR CUSTODIAN.

15. Limitation of Liability

You agree that under no circumstances, including negligence, shall Cryptio, or any third party that has provided information contained on the Platform, or any of their respective affiliates, be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or digital assets, arising out of or relating to your access to or use of, or inability to access or use, the Platform, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Cryptio's aggregate liability arising out of or relating to these Terms or the Platform will not exceed the fees paid by you to Cryptio in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.

16. Indemnification

You agree to indemnify, defend, and hold harmless Cryptio and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms or applicable law; (c) any transaction entered into with a counterparty, protocol, or custodian; or (d) your negligence or willful misconduct.

17. Suspension and Termination

Cryptio may suspend or terminate your access to the Platform at any time, with or without notice, including if we reasonably believe you have violated these Terms, applicable law, or pose a risk to Cryptio, other Users, or the integrity of the Platform. You may stop using the Platform at any time. Sections of these Terms that by their nature should survive termination (including Sections 12–16 and 18–22) will survive.

18. Changes to the Platform and These Terms

Cryptio may modify, suspend, or discontinue any part of the Platform at any time and may alter or delete Platform materials at our discretion. As noted in Section 1, we may update these Terms from time to time, and will provide notice of material changes, for example by posting an updated "Last Updated" date or notifying you through the Platform.

19. Force Majeure

Cryptio will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, internet or network disruption, blockchain network failures or forks, or failures of third-party service providers.

20. Governing Law and Consent to Jurisdiction

These Terms and your use of the Platform are governed by the laws of the United States of America and the State of New York, without regard to conflict-of-laws principles. Any legal action or proceeding related to the Platform or these Terms shall be brought exclusively in a federal or state court of competent jurisdiction sitting in New York, New York, and you consent to the exclusive jurisdiction and venue of those courts.

21. Miscellaneous

Severability. If any provision of these Terms is deemed unlawful, void, or otherwise unenforceable, that provision will be deemed severable from these Terms and will not affect the validity or enforceability of the remaining provisions, which will be modified to the minimum extent necessary to make the provision enforceable.

Entire Agreement. These Terms, together with any policies incorporated by reference and any separate transaction documentation, constitute the entire agreement between you and Cryptio regarding the Platform and supersede any prior agreements.

Assignment. You may not assign or transfer these Terms without Cryptio's prior written consent. Cryptio may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

No Waiver. Cryptio's failure to enforce any provision of these Terms is not a waiver of its right to do so later.

No Third-Party Beneficiaries. Except as expressly stated, these Terms do not confer any rights or remedies on any person other than you and Cryptio.

Electronic Communications. You consent to receive communications from Cryptio electronically, and agree that electronic communications satisfy any legal requirement that such communications be in writing.

Notices. Notices to Cryptio must be sent to legal@cryptio.co. Notices to you may be sent to the email address or contact information associated with your account.
